Magnolia Bakery 2025 “BAKE SALE” contest 

 

Official Rules 

 

NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.  

 

1. General Contest Description and Available Prize.  The Magnolia Bakery 2025 “BAKE SALE” Contest (the “Promotion” or the “Contest”) is sponsored by Magnolia Bakery CPG LLC, with an address of 244 W 54th St, Suite 501, New York NY 10019, along with the assistance of its advertising and promotional agencies (collectively, “Sponsor”).  The Contest requires entrants to submit (i) a written summary of no more than 500 words that describes why the submitted recipe is unique and special to the entrant; (ii) an entrant developed recipe for a unique, baked good product (such as (without limitation) a brownie, blondie, cupcake, cookie and the like, but that in any event does not include ice cream or any other frozen ingredient or feature); (iii) a single photographic image of the fully baked, ready to serve/eat recipe; and (iv) the Contest entry form, fully completed with the personal information of the entrant.   

 

A single Grand Prize Contest winner will be selected who will receive (i) a prize package consisting of a $500 Magnolia Bakery gift card (ARV $500.00), a Magnolia Bakery Swag Bag (consisting of 1 water bottle (ARV $22.95), 1 mug (ARV $18.95), 1 tote (ARV $16.95) and 1 hat (ARV $34.50)) (Aggregate ARV $93.35) and a copy of Magnolia Bakery’s latest cookbook, signed by Magnolia Bakery CEO and Chief Baking Officer, Bobbie  Lloyd (ARV $35.00) and (ii) a right to have a commercial derivative of the winner’s submitted recipe be developed by Magnolia Bakery with the resulting baked good offered for retail sale in Magnolia Bakery’s Bleecker Street, New York retail store over a weekend period expected to be in July, 2025 as determined by Magnolia Bakery (ARV of recipe publicity $250.00).  The approximate retail value of the entire Grand Prize Contest Winner prize package is $878.35.   

 

In addition, three (3) Runner Up Contest winners will be selected, each of which will receive a prize package consisting of a Magnolia Bakery Swag Bag (elements as outlined above; aggregate ARV $93.35) and a copy of Magnolia Baker’s latest cookbook, signed by Magnolia Bakery CEO and Chief Baking Officer, Bobbie Lloyd (ARV $35.00). The approximate retail value of each Runner Up Contest Winner prize package is $128.35; aggregate retail value of all Runner Up Contest Winner prize packages offered is $385.05.   

 

The aggregate value of all prizes offered in connection with the Contest is $1,263.40.      

 

2. Eligibility: Contest is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of Contest entry. Limit one (1) entry per person and per email address. Professional bakers and personnel that work in the baking process at a retail bake shop or otherwise any type of professional bakery are not eligible for this Contest and are not permitted to enter.  Employees of Magnolia Bakery and the employees of its advertising and promotional agencies managing this promotion, and any of their parent and affiliate companies as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee, are not eligible to enter or to win. The Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.  

 

3. Agreement to Official Rules: Participation in this Promotion will require each entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to this Promotion. Winning the prize is contingent upon fulfilling all requirements set forth herein.  Each entrant will also be required to certify as to his/her age and residence eligibility as part of the entry / Submission requirements. An opportunity to “Opt In” (at the entrant’s sole discretion) to receive promotional emails and new product announcements from Magnolia Bakery will also be provided for each entrant as part of the on-line entry form.  An “Opt In” is not required for Contest entry. 

 

4. Timing: The Promotion begins and Contest submissions will be accepted commencing on April 29, 2025 at 12:00 a.m. Eastern Time ("ET") and running through May 25, 2025 at 11:59 p.m. ET (the "Promotion Period”).  Timing of the various phases of this Contest will be:

Sponsor’s computer system is the official time-keeping device for the Promotion. 

 

5. How to Enter the Contest:  

 

During the Submission Phase of the Contest, entrants should visit www.magnoliabakery.com/pages/bake-sale and follow the instructions to (i) complete the Contest registration/entry form, and (ii) to type directly into the entry form a description of 500 words or less (in English) that describes why the submitted recipe is unique and special to the entrant.  On the entry form, Entrants must provide full name, a valid email and resident U.S. street address (no P.O. Boxes) (to be used for prize delivery, as applicable), cell phone number, and confirmation that he/she meets the age, residence and non-professional baker eligibility requirements and agrees to these Official Rules as a condition to entering into this Contest.  In addition to the entry form and 500 word or less description, each entrant is required to (iii) upload an entrant created, original baked good recipe, which must include all ingredients and their respective measurements, all combination, mixing and baking instructions, and the number of servings resulting from the recipe; and (iv) a single photographic image (in jpeg format) of the final, fully baked product resulting from the recipe.   The referenced 4 separate elements required for entry into this Contest as submitted by an entrant are hereafter collectively referred to as your submission ("Submission"). In no event will your Submission be returned to you. You will at all times continue to own all rights in your original Submission (including in the submitted recipe) and Sponsor will use your Submission solely for purposes of determining the winner of the Contest as described, and implementing the Contest and the prize as described.  Sponsor will own any derivative, commercial recipe it creates based on the winning recipe for purposes of offering the baked good product for sale at its retail stores as outlined in these Rules. 

 

For All Submissions/Entries: Limit one entry per person, per email address.  Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than a single Submission by using multiple/different email addresses, identities, registrations and logins, or any other methods, will void that entrant's Submission(s) and that entrant may be disqualified.  Use of any automated program to enter will result in disqualification.  Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, garbled or misdirected Submissions, which will be disqualified.  In the event of a dispute as to any aspect of an entrant’s Submission, the authorized account holder of the email address used to enter will be deemed to be the entrant.  Potential winners at Sponsor’s option may be required to show proof of being the authorized account holder.  The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.  Each entrant warrants that by entering this Content that the recipe is his/her own creation, that he/she has the full right and authority to submit the Submission and without limitation, to provide the recipe to Sponsor as herein outlined, and that Sponsor shall have the right to create a commercial derivative of the recipe as outlined herein for use in preparing baked good products for resale in Magnolia Bakery New York, California and Illinois retail stores. 

 

6. Winner Determination: The winner will be determined during the Judging Phase, when a panel of not less than three (3) designated judges determined by Sponsor in its sole discretion (one of which will be the Magnolia Bakery Chief Baking Officer) will judge the Submissions from each category based on points (1-10) awarded on each of the following criteria, with weighting of the criteria as referenced: 

  

The 500 word or less description of why the submitted recipe is unique and special to the entrant (50%); 

The perceived creativity, desirability and general appeal of the submitted recipe to home bakers (20%); 

The perceived Magnolia Bakery in-store customer reaction to the baked good, and the perceived overall quality of the produced baked good (20%) and 

The perceived ease and cost effectiveness of creating a commercial derivative of the submitted recipe for in-store sale at Magnolia Bakery stores (10%). 

 

 

One Grand Prize Contest winner and three (3) Runner up Contest winners will be selected by the Judges during the Judging Phase of the Contest. The entrant with the highest-scoring Submission based on the subjective determination of the panel of judges will be deemed the Grand Prize Contest winner, and the next three entrants with the next-highest scores will be the declared Runner up Contest winners.  The scoring of the panel of judges will be final in all instances respecting this Promotion.  In the event of a tie for any reason, the entrant who received the highest score in the 500 word or less description, as determined by the judges in their sole discretion, will be deemed the winner.  The winners will be notified by email to the email address provided with the Submission during the period as referenced above. 

 

7. Winner Requirements: Except where prohibited, the potential winner will be required to sign and return a Declaration of Compliance, Liability and Publicity Release document, and any other forms requested by Sponsor, all of which must be received by Sponsor without modification and in the form provided within five (5) business days of the date notice or attempted notice is sent, in order to be declared the winner and to receive the referenced prize.  Information required will include a valid social security number, and the potential Grand Prize winner must provide his/her social security number to Sponsor as a condition to being awarded the prize, so that proper 1099 documents can be issued at the prize value.  If the prize winner cannot be contacted, fails to execute and return the documentation in the form provided, without modification, and as requested by Sponsor, or fails to provide any other requested information within the required time period (if applicable), or does not comply with these Official Rules, then the potential winner forfeits the prize and the prize will be awarded to the selected runner-up.  In addition, if a potential Contest winner is disqualified for any reason, the prize may be awarded to a runner-up determined by the judges, if any, in Sponsor’s sole discretion.  

 

Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees, including the Released Parties (defined in Section 9, below) may use the winner’s name, city, state, provided personal photographic image or likeness, and submitted recipe and Submission for promotional, advertising or other purposes, in any and all media now known or hereafter devised, including on Magnolia Bakery’s website, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law.  Where the recipe portion of the Submission is published or distributed, attribution to the prize winner will be provided as agreed with the prize winner. 

 

8. Prizes:  

 

CONTEST WINNER: The specific elements of the prize are as outlined in Section 1 above.  The approximate, aggregate retail value of all components of the prizes to be awarded in connection with this Promotion across all Contest winners is USD $1,263.40 as referenced above.   Personal elements of the prizes will be shipped promptly after the Contest winner has been notified and verified, generally within 2 weeks from the end of the Contest and in accordance with the timetable referenced above.  

 

ARV is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded or redeemed.  Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for all taxes and fees associated with prize receipt and/or use, and winners acknowledge that a 1099 will be issued by Sponsor for the ARV of the prize.  

 

9. Release: By acceptance of the prize, the winner agrees that he/she will not sell, offer for sale, or transfer to any third party, the personal elements of the prize package.  By acceptance, each prize winner agrees that he/she releases and holds harmless the Sponsor, its affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, arising out of the winner’s participation in the Promotion or otherwise participation, involvement, receipt, use or misuse of any element of the prize, including without limitation the recipe, Magnolia Bakery’s derivative, in-store baked good product, or other aspects of the Submission. 

 

10. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If Sponsor terminates the Promotion, Sponsor may, in its sole discretion, determine the winner from among all non-suspect, eligible Submissions received up to time of such action using the judging procedure outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the Submission process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Submissions. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.  

  

11. Limitations of Liability: Sponsor and the Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the technology, software or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the submission process or any other portion of the Promotion; (4) printing, typographical, technical, computer, network or human error which may occur in the administration of the Promotion, the uploading, the processing or judging of Submissions or votes or the tabulating of votes, the announcement of the prizes or in any Promotion-related materials; (5) late, lost, undeliverable, or damaged Submissions; or (6) any participation in the Promotion or participation or use of any element of the prize. Released Parties are not responsible for misdirected or undeliverable Submissions or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third party use of any Submission. 

 

12. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a state court located within the state of New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

14. Winner List: The winner will be posted after winner confirmation is complete and will remain posted in any event until August 1, 2025.
